Mercury Terms and Conditions

On Service and Use:

• Tridel Technologies Inc.'s Webpresence packages are designed as a solutions-oriented service. The web templates, dynamic functions and other pertinent services are copyrighted and are exclusive properties of Tridel Technologies Inc. Client may not claim intellectual or exclusive ownership of these services. They cannot be sold and resold anywhere without permission. Customer provided content is owned by Client.
  
  
• Tridel reserves the right to deploy or duplicate all utilized web templates and dynamic back-end applications on any client's website for use of other clients subscribing the same service.
  
  
• Unless otherwise indicated, Client gains ownership of all product information featured on the web site or housed on the back-end databases upon subscription of service.

• Once a web site has been developed and delivered to Client, Tridel shall bequeath the responsibility of maintaining the web site's content to Client subscribing to that particular web site. Tridel however reserves the right to terminate a client's hosting service, should the client managed content does not conform to Tridel's standard terms of use.
  
  
• Tridel shall not be held liable for any content or ownership of any content featured once the web site has been turned over to Client.

On Payment:

• Production of web site specific to Client's requirements shall not occur without payment of one-time charges and submission of Customer Content.
  
  
• In the event that Client terminates the project, in cases not fault of Tridel Technologies Inc., ICO paid by Client shall be forfeited in favor of Tridel.
  
  
• One-time charges are non-refundable.
  
  
• Tridel Technologies Inc. reserves the right to change its services' prices without prior consent of client.
  
  
• Client shall pay the Recurring Monthly Charge at the end of each month, based on the prescribed charges.
  
  
• Minimum contract term is one (1) year.
  
  
• In the event that the client terminate the service contract before the minimum contract term, the client shall be asked to pay for the recurring monthly charges paid up to the time when website has been used. Tridel Technologies shall likewise charge Client for any discounts given in the event of the contract's termination prior to 1 contract year.
  
  
• Tridel reserves the right to terminate the said service for the client's non-payment of the contracted RMC.
  
  
• Tridel reserves the right to change its services' prices without prior consent of Client.
